These Terms of Service ("Terms") constitute a legally binding agreement between you ("you", "your", or "User") and Osmicro Networks Pty Ltd, ABN registered in Australia ("Osmicro", "we", "us", or "our"), governing your access to and use of the Vukorix platform, including all associated websites, applications, APIs, and services (collectively, the "Service").
By creating an account or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.
You must be at least 18 years of age and capable of entering into a binding contract to use the Service. By using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
To access the Service, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials, including your password, passkeys, and two-factor authentication methods. You agree to notify us immediately of any unauthorised use of your account.
We reserve the right to suspend or terminate accounts that contain inaccurate information or violate these Terms.
Vukorix is a secure document exchange platform that enables users to send encrypted messages and files, receive files through secure portals, exchange documents with clients, and manage electronic signatures. All content transmitted through the Service is encrypted using AES-256-GCM encryption.
Certain features of the Service require a paid subscription. By subscribing, you agree to pay the applicable fees as described at the time of purchase. Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date.
All fees are quoted in the currency displayed at checkout and are non-refundable except where required by Australian Consumer Law. We reserve the right to change pricing with 30 days' written notice. If you do not agree to a price change, you may cancel your subscription before the new pricing takes effect.
Free trial periods, where offered, automatically convert to paid subscriptions at the end of the trial unless cancelled.
Your use of the Service is subject to our Acceptable Use Policy, which is incorporated into these Terms by reference. You agree not to use the Service for any unlawful, harmful, or abusive purpose.
You retain all ownership rights in the content you upload, transmit, or store through the Service ("Your Content"). By using the Service, you grant us a limited licence to process, store, and transmit Your Content solely as necessary to provide the Service.
We do not access, review, or share Your Content except as required to operate the Service, comply with the law, or enforce these Terms. Encrypted content is stored in a form that we cannot read.
You are solely responsible for ensuring that Your Content does not violate any applicable laws or third-party rights.
Secure shares and file requests are automatically deleted after their configured expiration period. You may delete your content at any time through the Service. Upon account termination, we will delete your data within 30 days, except where retention is required by law.
The Service, including its design, code, features, and documentation, is owned by Osmicro Networks Pty Ltd and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service.
The "Vukorix" name and logo are trademarks of Osmicro Networks Pty Ltd.
Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to the practices described in the Privacy Policy.
We implement industry-standard security measures, including AES-256-GCM encryption, Argon2id password hashing, and two-factor authentication. However, no system is completely secure, and we cannot guarantee absolute security. You are responsible for maintaining the security of your own devices and credentials.
We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may perform scheduled maintenance, and the Service may experience downtime due to factors beyond our control. We are not liable for any loss or damage resulting from service interruptions.
To the maximum extent permitted by law, Osmicro Networks Pty Ltd and its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service.
Our total liability for any claim arising under these Terms shall not exceed the amount you paid to us in the 12 months preceding the claim.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under Australian Consumer Law.
You agree to indemnify and hold harmless Osmicro Networks Pty Ltd from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.
You may close your account at any time by contacting us. We may suspend or terminate your access to the Service at any time, with or without cause, upon reasonable notice. Termination does not relieve you of any obligations incurred prior to termination, including payment of outstanding fees.
We may update these Terms from time to time. We will notify you of material changes by email or through the Service at least 14 days before they take effect. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
These Terms are governed by and construed in accordance with the laws of Australia. Any disputes arising from these Terms shall be resolved in the courts of Australia.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
